Jeffrey J. Kennedy

Jeff assists public and private companies on a range of complex business transactions, including public offerings, private placements, mergers and acquisitions, and private equity fund formation and operation. Notably, he has experience assisting clients with the preparation of 1933 and 1934 Act filings, including the formation of special purpose acquisition companies (SPACs) or “blank check companies.”

Jeff has performed due diligence and drafted registration statements and memoranda for numerous securities offerings and strategic acquisitions. He has also prepared subscription agreements and side letters in connection with investments by private equity firms, charitable organizations, and high-net-worth individuals.
