Jeffrey J. Kennedy

Jeff counsels public and private company clients on a range of complex business transactions, including securities offerings, mergers and acquisitions (M&A) transactions, and private equity fund formation and operation. Notably, he has experience assisting clients with the preparation of 1933 and 1934 Act filings, including the formation of special purpose acquisition companies (SPACs) or “blank check companies.”

Jeff frequently represents issuers and underwriters in initial public offerings, registered public offerings, secondary offerings, and private placements. In addition, Jeff represents public company clients in connection with their ongoing reporting and disclosure requirements under the 1934 Act. He also regularly represents institutional investors in the formation of private equity funds and their investments in private investment funds and funds of funds.

Jeff’s representative experience includes performing due diligence on public and private companies, drafting registration statements on Form S-1, Form S-4, and Form S-3 for numerous securities offerings and strategic acquisitions. In addition, he prepares 1934 Act reports, proxy statements, and Section 16 compliance forms in connection with public company clients’ ongoing reporting obligations. He has also prepared subscription agreements and drafted side letters in connection with private investments by institutional investors, including private equity investment firms, charitable organizations, and high-net-worth individuals.
