Schiff Hardin Welcomes Counsel Andrew Banks in New York and Two Associates in Chicago to Its Growing Corporate Practice

Schiff Hardin today announced the expansion of its Corporate and Transactional Practice Group with the addition of counsel Andrew Banks in New York and associates Darcy Lee and Cody Boender in Chicago.

Schiff Hardin today announced the expansion of its Corporate and Transactional Practice Group with the addition of counsel Andrew Banks in New York and associates Darcy Lee and Cody Boender in Chicago. Banks advises public and private companies in mergers and acquisitions, stock purchases, asset purchases, spin-offs, tender offers, and proxy solicitations.

“We are pleased to welcome three additional talented corporate lawyers to our growing practice,” said David McHugh, leader of Schiff Hardin’s Corporate and Transactional group. “The M&A market looks to remain hot going into next year, so we are gratified that Andy, Darcy, and Cody can help service our clients and the heightened activity and demand.”

Banks brings an international perspective to his practice, with experience negotiating deals in London and Asia. He has led complex international and U.S. transactions, including negotiating stock and membership interest purchase agreements, operating agreements, joint venture agreements, employment and subscription agreements, and other investment documents.

“Schiff Hardin provides a unique opportunity to grow my practice and support clients’ needs as the market continues to expand with more traditional private M&A structure deals on the horizon. I am thrilled to join this collegial and growing group at an exciting juncture,” said Banks.

Banks joins Schiff from Ulmer & Berne, where he was counsel. Prior to that, he was at O’Melveny & Myers and Jenner & Block. Earlier in his career, he was legal counsel at GreenHills Ventures and worked in house at financial and technology services companies. He earned an LL.M. from the University of Strathclyde, an LL.M. in international law from Leiden University, an M.Sc. from the University of Amsterdam Business School cum laude and an LL.M. in corporate finance and law from Duisenberg School of Finance. He is admitted to practice in New York.

Cody Boender comes to the Chicago office as an associate from Impact Networking, a technology services company, where he served as general counsel. Previously he was an associate at Winston & Strawn. He earned his J.D. cum laude from Northwestern Pritzker School of Law, and an MBA from DePaul University Kellstadt Graduate School of Business. He earned a B.S. from Purdue University.

Darcy Lee also joins the Chicago office as an associate from Paul Hastings, where she represented clients in a variety of matters including debt financing transactions and acquisition financing, strategic mergers and acquisitions, private equity transactions, and bankruptcy and restructuring matters. She earned her J.D. cum laude from the University of Notre Dame Law School, and her B.A. summa cum laude from Bellarmine University.
