Ryan W. Oechsler

Ryan W. Oechsler is a senior associate in the Finance group in ArentFox Schiff’s Chicago office. He represents lenders, institutional investors and borrowers in a broad range of finance transactions, including senior secured and unsecured credit facilities, asset-based and term loan facilities, acquisition financings, mezzanine financings, and private placements. Ryan regularly leads the drafting and negotiation of principal credit and collateral documents. He advises clients from term sheet through closing and on post-closing compliance, amendments, and add-on financings.

On the lender side, Ryan represents national and regional bank lenders, insurance company investors, and private credit funds. His work for them includes asset-based facilities, secured revolving and term loan facilities, indenture-based financings, and mezzanine and note purchase financings, including intercreditor and subordination arrangements. Ryan’s borrower-side experience includes:

• dual-track financings combining first lien asset-based facilities and second lien or crossing-lien term loans;
• cross-border secured financings;
• revolving credit facilities and convertible and senior note indenture offerings for public companies;
• ESOP-related financings and restructurings and debt financings in connection with restructurings, including emergence financings;
• finance counsel on M&A transactions; and
• equipment financings.

His practice also extends to public finance. Before joining ArentFox Schiff, Ryan was deputy general counsel to a state conduit issuer and financing authority, and he continues to serve as issuer’s counsel on conduit bond transactions.
