ArentFox Schiff’s real estate joint venture team counsels all participants in the joint venture space, from equity investors to project sponsors, regarding the structuring, formation, documentation and financing of joint ventures, including the negotiation of joint venture terms and operative agreements, tax advantaged structuring, and the identification and resolution of all technical issues that arise through the lifecycle of a real estate joint venture.

Our Work
- Represented FCP as the equity partner in a joint venture to develop, construct and finance a 397-unit multifamily and retail project located in Davie, FL.
- Represented FCP as the equity partner in a joint venture to recapitalize and refinance a 500+ unit multifamily property located in Denver, CO.
- Represented Foulger-Pratt, LLC as the sponsor in a joint venture to acquire and finance a four (4) property multifamily portfolio located in Washington, DC.
- Represented Foulger-Pratt, LLC as a member of a tri-party joint venture to acquire and redevelop, through multiple phases, the Landmark Shopping Mall site located in Alexandria, VA.
- Represented Gateway Properties as developer partner in a joint venture to develop, construct and finance a multi-phase, multi-use property including an addition to a hospital, multi-family and retail in Orange, County, NJ.
- Represented Goldman Sachs as the equity partner in joint ventures at the property and upper-tier investment level with five separate joint venture partners involving more than 50 senior living facilities located in 18 states valued in excess of $1 billion.
- Represented Sunrise Senior Living as the equity partner in joint ventures with seven separate joint venture partners involving senior living facilities located in 21 states valued in excess of $1 billion.
