Adam advises private equity sponsors, portfolio companies, and public and privately held corporations on a wide range of complex corporate transactions. His experience includes domestic and cross‑border mergers and acquisitions, minority investments, joint ventures, carve‑outs, restructurings, and general corporate governance matters. 

In addition to his corporate transactional work, Adam advises clients in the sports industry on a range of commercial and strategic matters, including investments, acquisitions, and long‑term partnership arrangements.

  • Apax Funds in a number of matters, including:
    • Sale of a majority stake in Boats Group to Permira 
    • Acquisition of Lexitas
    • Acquisition of SavATree
    • Acquisition of a majority stake in Herjavec Group
    • Investment in Verint Systems Inc.
  • Lexitas in its acquisition and subsequent sale of Registered Agent Solutions Inc. 
  • KKR in the acquisition of Janney Montgomery Scott, a wealth management, investment banking, and asset management firm
  • Grubhub in its $7.3 billion sale to Just Eat Takeaway.com 
  • Comvest Credit Partners on the sale of a 75% stake in its private credit business to Manulife
  • Kinderhook Industries in a number of matters, including:
    • Acquisition of Mersino Water Solutions
    • Sale of Vesta Housing Solutions.
  • Kinderhook Industries-backed-Ironclad Environmental Solutions in its acquisitions of DenBeste Water Solutions and Adler Tank Rentals
  • Phibro Animal Health on its $350 million asset acquisition from Zoetis
  • 26North in the formation of 26North Re and its separate reinsurance transactions with American Equity Investment Life Holding Company
  • Centerbridge Partners in its acquisition of Community Psychiatry
  • Parts Authority, a portfolio company of The Jordan Company, in its sale of a majority stake to Kohlberg & Company, LLC
  • The Simply Good Foods Company in its acquisition of Quest Nutrition, LLC
  • EQT Infrastructure in its acquisition of Osmose Utilities Services, Inc.
  • Alight Solutions in its acquisition of Wipro’s Workday and Cornerstone OnDemand business
  • Warburg Pincus in its investment in Encora Technologies (f/k/a Indecomm Digital Services)
  • BlackRock Global Infrastructure Fund in its investment in a joint venture with QTS Realty Trust and Wren House Infrastructure that owns three data centers in Northern Virginia, operated by QTS Realty Trust
  • Whitehorse Liquidity Partners on its raising of Whitehorse Liquidity Partners III, LP, a $2 billion fund focused on preferred equity investments in private equity portfolios
